The Client acknowledges that in delivering the Zakat Advisory Services, the Adviser shall rely on information and documentation provided by the Client without independent verification. The Client is solely responsible for the accuracy, completeness, and authenticity of all information submitted to the Adviser.
The Client recognizes and agrees that the Adviser may also use publicly available industry data or reports in carrying out this engagement, in addition to the information furnished by the Client.
The Client agrees to promptly provide or cause to be provided all relevant and material information necessary for the Adviser to perform its services. The Client warrants that such information is true, accurate, and not misleading in any material respect.
All reports, opinions, and advice rendered by the Adviser are intended solely for the Client's internal and confidential use in evaluating Zakat obligations. The Client agrees not to disclose, reproduce, or distribute such information to any third party without the prior written consent of the Adviser, unless required by law.
The Client acknowledges that the Adviser is being engaged strictly as a Zakat Adviser and not in any legal, tax, or investment capacity.
The Client agrees that the Adviser's professional fee for the Zakat Advisory Services shall be 15% of the total Zakat amount determined, and this fee shall be deducted from the Zakat proceeds prior to disbursement to other beneficiaries. Payment of this fee shall be made immediately upon conclusion of the Zakat calculation.
The Adviser shall not be liable for any loss or damage resulting from decisions made or actions taken based on information provided by the Client or advice given under this engagement, provided such advice was given in good faith and with reasonable care.
Either party may terminate this engagement upon written notice. In such event, the Adviser shall be entitled to fees for services rendered up to the termination date.
This agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria and subject to the overarching principles of Shari'ah to the extent applicable. Any dispute arising shall first be resolved through mutual consultation in accordance with Shariah principles, failing which the matter shall be referred to arbitration under Nigerian law.
